We at Contracts 365, Inc. (“Contracts 365”, “we”, “us” or “our”) are committed to protecting your privacy. This Privacy Policy applies to our websites (including without limitation www.contracts365.com, support.contracts365.com and all social media sites) (collectively, our “Websites”) and our Contracts 365 Subscription Service (our “Subscription Service”).

This Privacy Policy sets forth our policies and procedures regarding the collection, use and disclosure of Personal Information (as defined below) that we receive from you. It also describes your choices regarding use, access and correction of your personal information. By submitting information, including Personal Information, to us, and by using our Websites and Subscription Service, you are expressly and voluntarily accepting the terms and conditions of this Privacy Policy regarding the collection, transfer, processing, storage, disclosure and other uses of your information as described in this Privacy Policy.

Please take the time to read this Privacy Policy. Unless stated otherwise, our current Privacy Policy applies to all Personal Information you provide to us or that you have previously provided to us.

Changes to this Privacy Policy

We may change this Privacy Policy from time to time. If we make any changes, we will notify you by revising the “Last Modified” date at the top of this Privacy Policy and, in some cases, where appropriate, we may provide you with additional notice (such as adding a statement to the login screen or sending you an email notification). We encourage you to review our Privacy Policy whenever you use our Websites or Subscription Service to stay informed about our information practices and the ways you can help protect your privacy. Using our Websites or Subscription Service or continuing to provide Personal Information to us after a notice of changes has been sent to you or published here shall constitute consent to the changes in our terms and practices. If you disagree with any changes to this Privacy Policy, you will need to stop using our Websites and Subscription Service.

Children

Children are not eligible to use our Websites or Subscription Service, and we ask that minors (under the age of 18) do not submit any personal information to us. Our Websites and Subscription Service are not directed to children under 18 years of age. We do not knowingly collect Personal Information from children under 13. If a parent or guardian becomes aware that his or her child has provided us with Personal Information without their consent, he or she should contact us at privacy@contracts365.com. If we become aware that a child under 13 has provided us with Personal Information, we will delete such information from our files.

Information We Collect

Personal Information

“Personal Information” means information that identifies you personally such as your name, email address and other personally identifiable information.  

Navigational Information

When you use our Websites and Subscription Service or view content provided by us, we automatically collect information about your computer hardware and software. This information can include your IP address, browser type, domain names, internet service provider (ISP), the files viewed on our Websites (e.g. HTML pages, graphics, etc.), operating system, clickstream data, access times and referring website addresses. In the case of our Websites, we link this automatically collected data to Personal Information such as name, email address, business address and phone number.

Analytics Information

We and our analytics providers collect and store analytics information when you use our Websites or Subscription Service. This analytics information consists of web browsing behavior collected through a combination of HTTP beacons and cookies. Analytics information also consists of data we collect as a result of running queries against content against our user base for purposes of generating Usage Data. “Usage Data” is aggregated data about a group or category of use, features or users that does not contain personal information. Though we may happen upon sensitive personal information as we compile Usage Data from content across user instances, this is a byproduct of our efforts to understand broader usage patterns and trends. It is not a concerted effort by us to examine the content of any user or customer. Our Subscription Service contains a feature that sends information to us about your systems (“System Information”). System Information includes information about (i) the server environment in which the Subscription Service is accessed: OS type and version, language and locale settings; and (ii) user device information in which the Subscription Service is accessed: browser type and version, native client type and version, location and device specifications. You can disable our collection of analytics information by blocking collection at a local network level by working with your IT Administrator to prevent access to this following url.

Social Media Websites

You may submit Personal Information to us through publicly available sources such as social media websites. Your interactions with social media websites are governed by the social media website’s privacy policy, and not our Privacy Statement.

 How We Collect Information

 We collect your Personal Information in the following ways:

 Use of Websites or Subscription Service

By using our Websites, registering for a demonstration or webinar, submitting a request form, or using our Subscription Service, you voluntarily and willingly provide us with certain information, including Personal Information which includes contact information, such as your name, email address, company name, address, phone number and other information about yourself and your business.

Log Files

We collect anonymous demographic information which is not unique to you such as age, gender, interests, and behaviors when you use our Websites and Subscription Service. There is also information about your computer hardware and software that is automatically collected by our Websites and Subscription Service. This information may include, but is not limited to, your computer’s Internet Protocol address, device type, browser type, referring web page, search information, domain names, and access times.

Cookies

Like most websites, we use “cookies” and web log files to collect information to track site usage and trends and to deliver a customized experience to you. A cookie is a small data file that is placed on your computer, mobile phone or other device by a web server and enables us to recognize you when you return to our site or log into our service. Cookies are uniquely assigned to you, and can only be read by a web server in the domain that issued the cookie to you. One of the primary purposes of cookies is to provide a convenience feature to save you time – for example, when you return to the same website, the information that was previously provided can be retrieved so you can easily use features that you customized. We may use “persistent cookies” to save your registration ID and log in password for future logins to the Websites or Subscription Service. We may also use “session ID cookies” which expire after a short period of time or when you close your browser. Session ID cookies are used to identify a particular visit and are used to enable certain features of the site, to better understand how you interact with the site and to monitor aggregate usage and web traffic routing to the site. We set a cookie and use local storage in your browser that contains information that we use to identify you for the functional site features described below with respect to our current third-party vendors HubSpot, LinkedIn, Facebook, Twitter, Azure Application Analytics, and Google Analytics. You have the ability to accept or decline cookies. Most web browsers automatically accept cookies, but you can usually modify your browser settings to decline cookies if you prefer. If you choose to decline cookies, you may be not able to fully experience the interactive features of the Websites or Subscription Service.

How We Use the Information We Collect

 We use the Personal Information we collect only in compliance with this Privacy Policy. We never sell, rent, or otherwise provide your Personal Information to any third party for marketing purposes.

In addition to the uses identified elsewhere in this Privacy Policy, we use the Personal Information that we collect for the following specific purposes, including:

General

  • Provide, maintain and improve the Subscription Service which may include detection, prevention and resolution of security and technical issues;
  • Respond to information requests posed from within our Websites including information inquiries as well as customer services and support;
  • Provide you with information about services, features, surveys, newsletters, offers, promotions and events; providing news or information about us and our select partners; deliver technical notices, updates, security alerts and support and administrative messages. You have the ability to opt out of receiving any promotional communications as described below;
  • Monitor and analyze trends, usage, and activities in connection with our Websites and Subscription Service; and
  • For other purposes about which we notify you.

Use of Personal Information

  • Provide and administer our Websites and Subscription Service to you;
  • Communicate with you and fulfill requests that you may make including requests for demonstrations, sales support, webinars and technical support;
  • Provide you with information and announcements about our Subscription Service;
  • Use in conjunction with Azure Application Analytics and Google Analytics for statistical information about our users; this information is not used to identify any individual user; and
  • Improve our Websites and Subscription Service, and improve your browsing experience by personalizing our Websites.

Use of Navigational information

  • To operate and improve our Websites and Subscription Service;
  • Provide you with personalized information about our Subscription Service; and
  • To monitor, measure and analyze use of our Websites and Subscription Service and to generate and derive useful data and information concerning the interests, characteristics and use behavior of our customers and visitors to our Websites and Subscription Service.

 Sharing of Personal Information

We Never Sell Personal Information.

We will never sell, rent or otherwise provide your Personal Information to any third party for marketing or other purposes.

Sharing of Information with Third Parties

We only share your Personal Information with third parties as described in this Privacy Policy, to carry out your instructions or requests, as may be compelled by law, or as necessary to protect our rights or property. For example, we may share data with trusted partners to help us process information, provide demonstrations or webinars, provide customer service, assess your interest in our products and services, conduct customer research or satisfaction surveys, or help us perform statistical analysis. Such third parties are prohibited from using your Personal Information except for these purposes, and they are required to maintain the confidentiality of your information. Contracts 365 may be liable if our third-party providers fail to meet certain obligations with respect to the Personal Information we provide them directly, unless we prove we are not responsible for the event giving rise to the damage.

Community

Our Websites offer publicly accessible community services such as blogs, forums and wikis. You should be aware that any information or content you provide in these areas may be made public and read, collected, and used by others who access them. Your posts may remain even after you cancel your account.

Compliance with Legal Process

We may be required to disclose your Personal Information and/or information with respect to your use of our Websites or Subscription Service if required by regulatory agency or by court order, subpoena or other legal process or requirement or if we reasonably believe that such disclosure is necessary (i) to investigate, prevent or take action with respect to suspected or actual illegal activities or to assist government enforcement agencies, (ii) to protect the safety of any person from death or serious bodily injury, (iii) to prevent fraud or abuse of our Websites or Subscription Service, (iv) to enforce our terms of use or your agreements with us, or (v) to investigate and defense ourselves against any third party claims or allegations.

Security and Retention of Your Personal Information

We use a variety of security technologies and procedures to help protect your Personal Information from unauthorized access, use or disclosure. Although we use industry standard security measures, the Internet is not a 100% secure environment and we cannot, and do not, ensure or warrant the security of any information you transmit or store using the Websites or the Subscription Service. There is no guarantee that your information may not be accessed, disclosed, altered or destroyed by breach of any of our physical, technical or managerial safeguards and we are not responsible for third party circumvention or your privacy settings or our security measures. You are responsible for maintaining the secrecy of your unique password and account information and for controlling access to your account.

We retain Personal Information that you provide to us as long as we consider it potentially useful in contacting you about our company, products or services. We retain Personal Information about our customers for as long as we need it to provide service to the customer. We will delete this Personal Information from our and our third-party service providers’ servers at an earlier date if you so request, as described in “Opting-Out and Unsubscribing” below.

If you have submitted a valid GDPR data subject access request to exercise your right to be forgotten, we will delete your Personal Information within 30 days of the request.

If you are an individual based in the EU or UK, you can request a copy of your Personal Information and you can update any incorrect information.

If you are an individual based in the EU or UK, you can ask to have your Personal Information removed, or in some cases, limit our processing of Personal Information. This does not apply when we need to keep your Personal Information for legal reasons.

External Websites

Our Websites and Subscription Service provide links to other websites. We do not control, and are not responsible for, the content or practices of other websites. Our provision of such links does not constitute our endorsement of these other websites, their content, their owners, or their practices. This Privacy Policy does not apply to these other websites which are subject to any privacy and other policies they may have. You should use caution and review the privacy policies of any websites, services or third-party providers that you visit from our Websites or Subscription Service to learn more information about their practices, which may be significantly different from ours.

Public Forums

We may offer publicly accessible message boards, blogs and community forums. Please keep in mind that if you directly disclose any information through our public message boards, blogs or forums, this information may be made public and may be collected and used by others. We will correct or delete any information you have posted on our servers if you so request, as described in “Opting-Out and Unsubscribing” below.

Use of Subscription Service as a User of an Organization

If you use an email address to access the Subscription Service and that email address was provided by an organization you are affiliated with, such as an employer, that organization can:

  • Control and administer your access and use of the Subscription Service, including controlling privacy-related settings of the Subscription Service.
  • Access and process your data, including the contents of your communications and files associated with your access and use of the Subscription Service.
  • If you lose access to your work account (in the event of change of employment, for example), you will lose access to the Subscription Service and the content associated with the Subscription Service. 

If your organization provides you with access to the Subscription Service, your use of the Subscription Service is subject to your organization's policies. You should direct your privacy inquiries, including any requests to exercise your data protection rights, to your organization’s administrator. We are not responsible for the privacy or security practices of our customers, which may differ from those set forth in this Privacy Policy.

Further, use of our Subscription Service requires integration with your organization’s subscription to the Microsoft Office 365 service. Information you submit using our Subscription Service may be processed by Microsoft through Microsoft Office 365 and Microsoft’s privacy policy will apply to such information. This Privacy Policy does not apply to information processed by Microsoft in its provision of the Microsoft Office 365 service.

International Transfer of Information

 By using our Websites or Subscription Service, you have given your express and informed consent to transfer the data that you provide to us to the United States and to process it in the United States. To facilitate our global operations, we may transfer and access Personal Information from around the world, including the United States. This Privacy Statement shall apply even if we transfer Personal Information to other countries.

Your Rights as an Individual Based in the EU or UK

  • Access to your Personal Information: You have the right to request a copy of the Personal Information we hold about you.
  • Correcting your Personal Information: We want to have accurate data. Please contact us if you think the Personal Information you provided to us is not up to date or correct.
  • Deletion of your Personal Information: You have the right to ask us to delete Personal Information about you if it is no longer required for the purpose it was collected, you have withdrawn your consent, you have a valid objection to us using your Personal Information, or our use of your Personal Information is contrary to law or our other legal obligations.
  • Objecting to how we may use your Personal Information: You have the right at any time to require us to stop using your Personal Information for direct marketing purposes. In addition, where we use your Personal Information to perform tasks carried out in the public interest then, if you ask us, we will stop using that Personal Information unless there are overriding legitimate grounds to continue.
  • Restricting how we may use your Personal Information: In some cases, you may ask us to restrict how we use your Personal Information. This right might apply, for example, where we are checking the accuracy of Personal Information about you that we hold or assessing the validity of any objection you have made to our use of your Personal Information. The right might also apply where this is no longer a basis for using your Personal Information, but you don’t want us to delete the Personal Information. Where this right is validly exercised, we may only use the relevant Personal Information with your consent, for legal claims or where there are other public interest grounds to do so.
  • Automated processing: If we use your Personal Information on an automated basis to make decisions which significantly affect you, you have the right to ask that the decision be reviewed by an individual to whom you may make representations and contest the decision. This right only applies where we use your Personal Information with your consent or as part of a contractual relationship with you.
  • Withdrawing your consent using your Personal Information: Where we use your Personal Information with your consent, you may withdraw that consent at any time and we will stop using your Personal Information for the purpose(s) for which consent was given.

Your California Privacy Rights

Privacy Notice for California Residents: This Privacy Notice for California Residents shall be effective from and after January 1st, 2020 to the extent that we are regulated as a business (as defined in the CCPA) under the CCPA (as defined below) and shall apply only if you are a California resident. If an organization with which you are associated (an “Organization”) is or becomes a customer of Contracts 365, we may receive consumer information (as defined below) about you (either directly from you or from the Organization) in connection with our provision of business services, including provision of our Subscription Service to your Organization. To the extent we process such information solely to provide our Subscription Service to your Organization, under CCPA, to the extent applicable, we will act as a “service provider” (as defined under CCPA) on behalf of your Organization with respect to that consumer information; this Privacy Policy will not apply to the processing of that consumer information and your Organization will act as a business (as defined in the CCPA) in respect of that consumer information. The business is responsible for obtaining all necessary consents and providing you with all requisite information as required by the applicable law. To the extent we process your consumer information for any other lawful business purpose of ours, under the CCPA, to the extent applicable, we will act as a business with respect to such consumer information and this Privacy Notice for California Residents will apply to the processing of such consumer information.

As used in the Privacy Notice, for California Residents, “sell” (including any grammatically inflected forms thereof) means selling, renting, releasing, disclosing, disseminating, making available, transferring, or otherwise communicating orally, in writing, or by electronic or other means, consumer information (as defined below) to another business or a third party for monetary or other valuable consideration. 

“Selling” does not include (i) disclosing consumer information to a third party at your direction, provided the third party does not sell the consumer information except in accordance with the California Consumer Privacy Act (the “CCPA”), (ii) where you intentionally interact with a third party through the Website, provided the third party does not also sell the consumer information, (iii) where you have opted out in accordance with this Privacy Notice for California Residents, disclosures to third parties for the purposes of alerting such third parties that you have opted out of the sale of your consumer information, (iv) using or sharing your consumer information with a service provider as necessary to perform business purposes, provided that such service provider provides its services on Contracts 365’s behalf and provided that the service provider does not further collect, sell or use the consumer information except as necessary to perform the business purpose, or (v) transfers of your consumer information to a third party as an asset that is part of a merger, acquisition, bankruptcy, or other transaction in which the third party assumes control of all or part of Corridor, provided that information is used or shared consistently with the CCPA.

Consumer Information Collected

We may collect information that identifies, relates to, describes, references, is capable of being associated with, or could reasonably be linked, directly or indirectly, with particular California residents, devices or households (“consumer information”). In particular, we have collected the following categories of consumer information from California residents, households or devices within the last twelve (12) months:

 Identifiers including name, postal (business) address, email, IP addresses, business phone for the following business or commercial purposes:

  • To provide and help us understand who uses our Websites and to perform statistical analysis of user behavior;
  • For internal operations such as evaluating, operating and improving our Websites;
  • To send you electronic newsletters and contact you about our Websites or Subscription Service; and
  • To respond to your questions and comments.

 Internet or other similar network activity including browsing history for the following business or commercial purposes:

  • To provide and help us understand who uses our Websites and to perform statistical analysis of user behavior;
  • For internal operations such as evaluating, operating and improving our Websites;
  • To send you electronic newsletters and contact you about our Websites or Subscription Service; and
  • To respond to your questions and comments.

 Professional or employment related information including Current job title for the following business and commercial purposes:

  • For Networking Activities;
  • To provide and help us understand who uses our Websites and to perform statistical analysis of user behavior;
  • For internal operations such as evaluating, operating and improving our Websites;
  • To send you electronic newsletters and contact you about our Websites, Subscription Service, and Networking Activities; and
  • To respond to your questions and comments.

Use of Consumer Information

We use consumer information for the business or commercial purposes described above and in the manner described under the heading “How We Use the Information We Collect”.

 Disclosures of Consumer Information for a Business Purpose
Corridor may disclose your consumer information described above to a third party for a business purpose, as described under the heading “Sharing of Personal Information”. In the preceding twelve (12) months, Corridor has disclosed the following categories of consumer information for a business purpose:

  •  Identifiers
  • Internet or other similar network activity
  • Professional or employment-related information. 

In the preceding twelve (12) months, Contracts 365 has not sold your consumer information, nor does it or will it sell your consumer information.

California Residents’ Rights and Choices
The CCPA provides California residents with specific rights regarding their consumer information. This section of the California Privacy Notice describes your CCPA rights (to the extent applicable to you) and explains how to exercise those rights.

Access to Specific Information and Data Portability Rights You may have the right to request that Contracts 365 disclose certain information to you about our collection and use of your consumer information over the past 12 months. Once we receive and confirm your verifiable consumer request, to the extent required by the CCPA, we will disclose to you:

  • The categories of consumer information we collected about you.
  • The categories of sources for the consumer information we collected about you.
  • Our business or commercial purpose for collecting that consumer information.
  • The categories of third parties with whom we share that consumer information.
  • The specific pieces of consumer information we collected about you (also called a data portability request).
  • If we disclosed your consumer information for a business purpose, two separate lists disclosing (i) sales, identifying the consumer information categories that each category of buyer purchased; and (ii) disclosures for a business purpose, identifying the consumer information categories that each category of recipient obtained.

Deletion Request Rights    You have the right to request that Contracts 365 delete any of your consumer information that we collected from you and retained, subject to certain exceptions. Once we receive and confirm a verifiable request from you (if you are a California resident) in the manner described herein (“verifiable consumer request”), we will delete (and direct our service providers to delete) your consumer information from our records, unless an exception applies. We may deny your deletion request if retaining the information is necessary for us or our service provider(s) to: 

  • Complete the transaction for which we collected the consumer information, provide a product or service that you requested, take actions reasonably anticipated within the context of our ongoing business relationship with you, or otherwise perform our contract with you.
  • Detect security incidents, protect against malicious, deceptive, fraudulent, or illegal activity, or prosecute those responsible for such activities.
  • Debug products or services to identify and repair errors that impair existing intended functionality.
  • Exercise free speech, ensure the right of another consumer to exercise their free speech rights, or exercise another right provided for by law.
  • Comply with the California Electronic Communications Privacy Act (Cal. Penal Code § 1546 et. seq.).
  • Engage in public or peer-reviewed scientific, historical, or statistical research in the public interest that adheres to all other applicable ethics and privacy laws, when the information’s deletion may likely render impossible or seriously impair the research’s achievement, if you previously provided informed consent.
  • Enable solely internal uses that are reasonably aligned with consumer expectations based on your relationship with us.
  • Comply with a legal obligation.
  • Make other internal and lawful uses of that information that are compatible with the context in which you provided it.

Exercising Access, Data Portability, and Deletion Rights
To exercise the access, data portability, and deletion rights described in above under the heading “Deletion Request Rights”, please submit a verifiable consumer request to us by either: (1) calling us at 781.229.9933; or (2) contacting us in the manner provided under the heading “Reviewing, Correcting and Removing Your Personal Information” below. Only you, or a person registered with the California Secretary of State that you authorize to act on your behalf, may make a verifiable consumer request related to your consumer information. You may also make a verifiable consumer request on behalf of your minor child. You may make a verifiable consumer request for access or data portability no more than twice within a 12-month period. The verifiable consumer request must: (i) provide sufficient information that allows us to reasonably verify you are the person about whom we collected consumer information or an authorized representative; and (ii) describe your request with sufficient detail that allows us to properly understand, evaluate, and respond to it. We cannot respond to your request or provide you with consumer information if we cannot verify your identity or authority to make the request and confirm the consumer information relates to you. Making a verifiable consumer request does not require you to create an account with us. We will only use consumer information provided in a verifiable consumer request to verify the requestor’s identity or authority to make the request. We will provide email receipt acknowledgement to verify consumer requests.

We endeavor to respond to a verifiable consumer request within forty-five (45) days of its receipt. If we require more time (up to ninety (90) days), we will inform you of the reason and extension period in writing. If you have an account with us, we may deliver our written response to that account. If you do not have an account with us, we will deliver our written response by mail or electronically, at your option. Any disclosures we provide will only cover the 12-month period preceding the verifiable consumer request’s receipt. The response we provide will also explain the reasons we cannot comply with a request, if applicable. For data portability requests, we will select a format to provide your consumer information that is readily useable and should allow you to transmit the information from one entity to another entity without hindrance. If your requests are manifestly unfounded or excessive, in particular because of their repetitive character, we may either charge a reasonable fee, taking into account the administrative costs of providing the information or communication or taking the action requested, or refuse to act on the request and notify you of the reason for refusing the request.

Non-Discrimination

We will not discriminate against you for exercising any of your CCPA rights, including, unless permitted by the CCPA, by:

  • Denying you goods or services.
  • Charging you different prices or rates for goods or services, including through granting discounts or other benefits, or imposing penalties.
  • Providing you a different level or quality of goods or services.
  • Suggesting that you may receive a different price or rate for goods or services or a different level or quality of goods or services.

How to Access & Control Your Personal Data

Reviewing, Correcting and Removing Your Personal Information

If you provide us with your Personal Information, you have the following rights with respect to that information:

  • To review the Personal Information that you supplied to us;
  • To request that we correct any errors, outdated Personal Information, or omissions in Personal Information that you supplied to us;
  • To request that your Personal Information not be used to contact you;
  • To request that your Personal Information be removed from any solicitation that we use;
  • To request that your Personal Information be deleted from our records; and
  • To otherwise opt out of receiving solicitations.

 How You Can Opt Out of Web Tracking

There are several ways to opt out of web tracking:

  • Most browsers allow you to block third-party cookies or prevent cross-domain tracking. This will limit the cookies that can be set by third-party scripts. This will not completely eliminate tracking by some third-party services, though, as they may use first-party cookies.
  • Most browsers also allow you to ask to not be tracked (via the “Do Not Track” request header). If you have enabled this feature, we will not track the pages you visit in a way that enables us to connect them to your personal information. Your page views may still be collected anonymously, though. Many of the third-party services we use for collecting anonymous data also respect the Do Not Track setting.

Third Party Vendors
